Terms of Service

Please read these Terms of Service carefully before using freshOk. By accessing or using the platform, you agree to be bound by these terms. If you do not agree, do not use freshOk.

By using freshOk, you represent that you are a legal entity or individual of at least 18 years of age, that you have the authority to bind your business to these Terms, and that your use of freshOk will comply with all applicable Indian laws.

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to access and use freshOk for your internal business operations. The Services include:

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at pawan@freshok.in if you suspect unauthorised access. We reserve the right to suspend accounts that show signs of compromise or abuse.

5. Fees and payment

Subscription fees are as described in your Order Form or as communicated at the time of subscription. All fees are in Indian Rupees and are exclusive of applicable taxes including GST. Invoices are issued monthly or annually as per your plan. Payment is due within 15 days of invoice date. Late payments may attract interest at 1.5% per month. We reserve the right to suspend access for unpaid accounts after 30 days.

You retain full ownership of all Data you submit to freshOk. You grant us a limited licence to process your Data solely for the purpose of providing the Services. We will not access, use, or disclose your Data except as described in our Privacy Policy or as required by law. On termination of your subscription, your Data will be available for export for 30 days, after which it will be deleted from our systems subject to legal retention obligations.

7. AI recommendations and accuracy

freshOk's AI modules provide recommendations, forecasts, alerts, and pricing suggestions. These are provided to assist your decision-making and do not constitute professional advice. All business decisions made on the basis of freshOk's outputs remain your responsibility. We do not guarantee the accuracy of any forecast, recommendation, or alert. You should apply your own business judgement before acting on any AI output.

freshOk, its AI models, software, design, and documentation are the exclusive property of Raspil Private Limited and are protected under applicable Indian intellectual property laws. Nothing in these Terms transfers any intellectual property rights to you. The freshOk name, logo, and brand marks may not be used without our prior written consent.

10. Confidentiality

Each party agrees to keep confidential all non-public information received from the other party in connection with freshOk, and to use such information only for the purposes of these Terms. This obligation survives termination of your subscription for a period of 3 years.

11. Warranties and disclaimers

We warrant that freshOk will perform materially in accordance with its documentation under normal use. To the fullest extent permitted by Indian law, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that freshOk will be uninterrupted, error-free, or that all defects will be corrected.

12. Limitation of liability

To the maximum extent permitted by applicable law, our total aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the total fees paid by you to us in the 3 months preceding the event giving rise to the claim. We shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profit, loss of data, or business interruption, even if advised of the possibility of such damages.

13. Indemnification

You agree to indemnify, defend, and hold harmless Raspil Private Limited and its officers, directors, and employees from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of freshOk, your violation of these Terms, or your violation of any third-party rights.

14. Termination

Either party may terminate the subscription with 30 days written notice. We may terminate or suspend your access immediately and without notice if you breach these Terms, fail to pay fees, or use freshOk in a manner that creates legal risk for us. On termination, all licences granted to you cease immediately.

15. Governing law and disputes

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Delhi, India. The language of arbitration shall be English.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email or platform notice at least 15 days before they take effect. Your continued use of freshOk after the effective date constitutes acceptance of the updated Terms.
